1. About these terms

These Terms & Conditions apply to services provided by The ScoreSmiths, including music transcription, arranging, chart preparation, backing tracks and click tracks.

By commissioning work from The ScoreSmiths, you agree to these terms together with any specific terms agreed for your project.

2. Quotes and project scope

Quotes are valid for 30 days unless otherwise stated.

Each project will be discussed and agreed with the client before work begins. The agreed scope may include the type and number of deliverables, instrumentation, source material, deadline, price, payment arrangements and any other relevant requirements.

If the requirements of a project change after the work has been agreed, we may need to revise the price, delivery date or scope.

3. Payment

Payment terms are agreed on a project-by-project basis and will be communicated to the client before work begins.

Work may not begin until any agreed upfront payment or other required arrangements have been completed.

4. Delivery

We will make reasonable efforts to deliver completed work by the agreed deadline.

Delivery times depend on the size and complexity of the project, the quality and availability of source material, and any information or approvals required from the client.

If circumstances outside our reasonable control affect delivery, we will communicate this to the client as soon as reasonably possible.

5. Revisions and changes

Any included revisions or amendments will be agreed as part of the individual project.

Requests that substantially change the original brief, add new material or require additional work may be treated as additional work and may incur additional charges.

6. Cancellation

Cancellation terms will be agreed on a project-by-project basis.

Where work has already started, the client may be responsible for payment for work completed up to the point of cancellation and for any other costs or commitments that have been reasonably incurred.

Any specific cancellation terms agreed for a project will take precedence over this general provision.

7. Client materials and responsibilities

The client is responsible for ensuring that they have the necessary rights or permissions to provide us with recordings, compositions, arrangements, scores, stems, videos or other material for the purpose of carrying out the commissioned work.

The client must provide source material and project information that is reasonably sufficient for us to complete the work.

We are not responsible for delays or inaccuracies resulting from incomplete, inaccurate or unsuitable source material supplied by the client.

8. Copyright and intellectual property

The ScoreSmiths does not claim ownership of copyright in music, recordings, compositions or other material supplied by the client or by third parties.

The client remains responsible for obtaining any permissions or licences required to commission or use transcription, arrangement, charting, backing-track or other work involving copyrighted material.

The rights and permitted use of commissioned deliverables will be agreed as part of the individual project where necessary.

Unless otherwise agreed, commissioning a service does not transfer ownership of the underlying copyright in the original musical work.

9. Portfolio and promotional use

We will not publicly reproduce, display or distribute client materials or completed commissioned work for portfolio or promotional purposes without the client’s permission.

We may display our own original examples, demonstrations or portfolio material where doing so does not disclose confidential client information or infringe third-party rights.

10. Our materials and know-how

The ScoreSmiths retains ownership of its own pre-existing templates, systems, processes, methods, production techniques and general professional know-how.

These may be used in future projects provided that doing so does not disclose confidential client information or reproduce a client’s protected material without permission.

11. Confidentiality

We will treat information supplied by clients as confidential where it is reasonably understood to be confidential.

We will not knowingly disclose confidential project information to third parties except where necessary to provide the agreed service, where required by law, or with the client’s permission.

12. Limitation of liability

We will take reasonable care to provide accurate and professional work.

To the extent permitted by law, we are not responsible for losses arising from inaccurate, incomplete or unsuitable source material supplied by the client, or from the client’s use of completed materials outside the agreed project requirements.

Nothing in these terms excludes or limits liability where doing so would be unlawful.

13. Changes to these terms

We may update these Terms & Conditions from time to time.

The version applicable to a particular project will be the version in effect when the project is agreed, unless different terms are specifically agreed with the client.
